Purchase Terms & Conditions

These Purchase Terms and Conditions (“Purchase Terms”) govern your purchase and use of paid subscription plans offered by ARCHWAY AI INC. (“Archway”, “we”, “us”, or “our”) through the Archway platform at www.tryarchway.ai. These Purchase Terms supplement and are in addition to our Website Terms of Use and Privacy Policy.
1. Subscription Plans
1.1 Plan Tiers
Archway offers a free tier and paid subscription plans. The features, limits, and pricing for each plan are described on our Pricing page. We reserve the right to modify plan features and pricing with 30 days' prior notice.
1.2 Bridge Slots
Paid plans are priced per active bridge slot. An “active bridge” is a bridge with “ACTIVE” status that is deployed and publicly accessible. Drafted, paused, or expired bridges do not count toward your active bridge limit.
1.3 Invocation Limits
Each plan includes a monthly invocation allowance. An “invocation” is a single execution of a bridge function. If you exceed your monthly invocation limit, bridge executions may be throttled or suspended until the next billing cycle.
2. Billing and Payment
2.1 Payment Processing
All payments are processed through Stripe. By subscribing to a paid plan, you agree to Stripe's Terms of Service. We accept credit cards and US bank accounts (ACH).
2.2 Billing Cycles
Subscriptions are billed either monthly or annually, depending on the billing cycle you select at checkout. Your subscription automatically renews at the end of each billing cycle unless cancelled.
2.3 Quantity Changes
You may increase or decrease your number of bridge slots at any time through the Settings page. Changes are prorated on your next invoice. You cannot reduce bridge slots below the number of currently active bridges.
2.4 Taxes
Prices are exclusive of applicable taxes. You are responsible for any sales tax, VAT, or other taxes associated with your subscription, except for taxes on Archway's income.
3. Free Tier
The free tier is provided at no cost and includes a limited number of active bridges and monthly invocations. We reserve the right to modify free tier limits at any time. The free tier is provided “as is” without any service level commitments.
4. Cancellation and Refunds
4.1 Cancellation
You may cancel your subscription at any time through the Stripe billing portal (accessible from Settings > Manage on Stripe). Upon cancellation, your subscription remains active until the end of the current billing period. After that, your account reverts to the free tier.
4.2 Refunds
Subscription fees are non-refundable, except where required by applicable law. If you believe you have been charged in error, please contact us at support@tryarchway.ai within 30 days of the charge.
4.3 Downgrade Effects
When your account reverts to the free tier (due to cancellation or failed payment), your active bridge limit will be reduced to the free tier allowance. Bridges exceeding the free tier limit will not be automatically deleted but will not accept new invocations until you reduce active bridges to within the free tier limit or resubscribe.
5. Service Availability
5.1 Uptime
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service is hosted on Vercel and Neon infrastructure, and availability is subject to the uptime of those providers.
5.2 Maintenance
We may perform scheduled or emergency maintenance that temporarily affects Service availability. We will provide reasonable advance notice for scheduled maintenance when possible.
5.3 Bridge Execution
Bridge functions execute in serverless environments with a default timeout of 30 seconds. We do not guarantee the execution time, output, or availability of any individual bridge invocation.
6. Your Data
6.1 Ownership
You retain all ownership rights to the bridge code you create and the data processed through your bridges. Archway does not claim any intellectual property rights over your code or data.
6.2 Customer Secrets
Secrets submitted by your customers through the customer portal are encrypted at rest and only decrypted in-memory during bridge execution. You are responsible for ensuring that your use of customer secrets complies with any agreements you have with your customers and applicable data protection laws.
6.3 Data Deletion
Upon account termination, we will delete your data in accordance with our Privacy Policy. You are responsible for exporting any data you wish to retain before cancellation.
7. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Deploy bridges that perform malicious activities, including but not limited to: distributing malware, phishing, unauthorized access to third-party systems, or denial-of-service attacks
- Store or process data in violation of data protection regulations (e.g., HIPAA-protected health information without a BAA, or payment card data outside PCI DSS compliance)
- Circumvent usage limits, rate limits, or other technical restrictions
- Resell or sublicense access to the Service without our written consent
We reserve the right to suspend or terminate accounts that violate these acceptable use requirements without prior notice.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCHWAY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE PURCHASE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO ARCHWAY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL ARCHWAY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE.
9. Changes to Purchase Terms
We may update these Purchase Terms from time to time. Material changes will be communicated via email to the billing contact on file and/or by notice within the platform. Continued use of paid features after changes take effect constitutes acceptance of the updated terms.
10. Governing Law
These Purchase Terms are governed by the laws of the State of California, without regard to conflict of law principles. Disputes are subject to the arbitration provisions set forth in our Website Terms of Use.
